Role Description

The Purpose of the role of Legal & Compliance Manager is to ensure JSM Group Services Limited adheres to legal and ethical standards, as well as enforcing regulations in all aspects and levels of business and provide guidance on compliance and policy matters.

 

Skills and Experience Required:

  • BSc/BA in law, finance, business administration or related field
  • Certified compliance professional is desirable
  • Minimum 2 years’ experience as compliance officer/manager within the construction or utilities industries
  • In-depth knowledge of the industry’s standards and regulations
  • Excellent knowledge of reporting procedures and record keeping
  • A business acumen partnered with a dedication to legality
  • Methodical and diligent with outstanding planning abilities
  • An analytical mind able to “see” the complexities of procedures and regulations

General Duties

  • Developing and overseeing control systems to prevent or deal with violations of legal guidelines and internal policies.
  • Evaluate the efficiency of controls and continuously review and improve.
  • Revise procedures, reports etc to identify hidden risks or non-conformity issues.

  • Collaborate with corporate counsels and HR departments to monitor enforcement of standards and regulations.
  • Assess the business’s future ventures to identify possible compliance risks.
  • Review the work of colleagues when necessary to identify compliance issues and provide advice or training.
  • Keep abreast of regulatory developments within or outside of the company as well as evolving best practices in compliance control.
  • Prepare reports for senior management and external regulatory bodies as appropriate.
  •  Draft and review a variety of documents, including vendor contracts, amendments, NDAs, and other agreements, including contract management and governance.
  • Update and document control all legal documents and registers.
  • Assist with preparation of standard forms and templates.
  • Work with key stakeholders to manage and advise in relation to internal governance and control framework and escalation of potential non-compliance with Venterra’s contracting protocol.
  • Record and monitor key risks and advise on strategies to mitigate those risks.
  • Interpret and advise our businesses about their ongoing contractual obligations.
  • Manage routine notices and communications to be submitted under the contracts.
  • To advise and assist the business units with the development of appropriate procedures and controls to minimise the potential adverse impact of the Company’s exposure to risk.
  • Ensuring that such procedures and controls are appropriately documented and reviewed and updated on a regular basis.
  • Maintain records of Compliance related disclosures, i.e.: gifts and hospitality; conflicts of interest.
  • Working with the relevant business lead to ensure the Company’s suite of policies and procedures are kept up to date. To provide input on the content of Risk & Compliance owned Policies and ensure they are embedded throughout the organisation.
  • Drive a program of continuous improvement and exercise authority in implementing necessary actions to ensure overall compliance with ISO standards and applicable legislation.
  • Manage and maintain the company’s legal register in relation to ISO standards.
  • Other related duties as required.
